The context
A French success story turned international group.
Approach People Recruitment, today active in France, Spain and Germany, established its European headquarters in Ireland. With its rapid growth on Swiss territory, the group reached a critical threshold: setting up a Swiss subsidiary became a strategic obvious move.
The challenge: quickly form a public limited company (SA) in Geneva and Lucerne, secure legal compliance (Swiss resident director, cantonal authorisations for the placement of services) and roll out a complete administrative mandate — domiciliation, accounting, VAT, work permits, payroll — capable of supporting sustained growth.
We discussed the matter with the parent company’s shareholders and their advisors. The chosen solution was an SA subsidiary with a domiciliation service, a resident director and a global administrative mandate covering mail, accounting, VAT, work permits, payroll and taxation.
Project scope
A global support mandate, deployed end-to-end.
SA formation
Analysis, legal advice, drafting of the articles of association, escrow capital deposit account, notary and Commercial Register.
Domiciliation
Commercial address in Geneva pending the lease of their own offices. Annual mandate.
Resident director
Swiss resident director mandate to meet the legal obligation under the Swiss Code of Obligations.
Administration
Accounting, quarterly VAT, payroll, ICC/IFD corporate tax, cantonal and federal work permits.
The process
Forming a public limited company in Switzerland.
Activity analysis, advice on the articles of association, preparatory incorporation work, opening of the escrow capital deposit account.
Signature of the founding documents, legalisation of the directors’ signatures before the cantonal notary.
Drafting of the notarial deed and submission of the documents to the Commercial Register. Company operational.
Solution deployed
Two pillars for a lasting set-up.
