Three recent client cases.
Three real-world scenarios, each matched with the appropriate package: a regulatory emergency resolved through an official notification address, the transfer of a subsidiary from Lausanne to Geneva with structured administrative follow-up, and a growing company strengthening its economic substance through a flexible private office solution.
Borderline cases: when we decline a domiciliation mandate.
Three situations in which My Swiss Company SA prefers to decline or redirect the project, in the client's interest. How we handle the cross-border self-employed person without real Swiss substance, the foreign company exposed to permanent establishment risk under art. 5 of the OECD Model, and the individual seeking a tax “residence” through a mere business address.
Cross-border self-employed: simple domiciliation insufficient for an activity without real Swiss substance
We are regularly contacted by cross-border self-employed individuals seeking a Swiss domiciliation address in order to register with the Commercial Register and/or with the AHV as self-employed.
In some cases, this model can be coherent. However, when the nature of the activity does not make it credible to operate the business from a mere domiciliation address, we prefer not to accept the mandate, in the client's interest.
This is notably the case when:
- the activity physically requires a workshop, an office, commercial premises, storage or staff on site;
- all operational activity remains carried out from the client's country of residence;
- no business travel, clientele or credible infrastructure exists in Switzerland;
- the domiciliation is used as the sole "proof" of a Swiss activity.
In this type of situation, the risk is twofold:
- refusal or challenge of self-employed status by the AHV;
- tax or administrative challenge linked to the absence of real economic substance in Switzerland.
A simple administrative address does not replace a genuine place of operation. Where necessary, we redirect our clients to more appropriate solutions: real office, permanent workspace, credible operational structure or other organisation compatible with the activity carried out.
Foreign company using a Swiss address for marketing purposes: permanent establishment risk (art. 5 OECD Model)
Some foreign companies wish to have a Swiss address in order to strengthen their commercial image or international credibility, then publish this address on:
- their website;
- their email signatures;
- their contracts;
- their commercial documentation;
- their business cards;
- their invoices.
In some contexts, this use can create a significant legal and tax risk, particularly with regard to the risk of being reclassified as a permanent establishment ("PE") within the meaning of article 5 of the OECD Model Tax Convention, reproduced in the majority of international tax treaties concluded by Switzerland. In practice, a Swiss address presented as a genuine commercial point of presence may lead some tax authorities, business partners or banks to consider that:
- the company carries out an activity in Switzerland;
- a lasting economic presence exists;
- local substance is being claimed;
- tax, accounting or regulatory obligations could apply in Switzerland.
The risk increases further when:
- employees work from Switzerland;
- commercial decisions are taken from Switzerland;
- the Swiss address is presented as the operational headquarters;
- clients believe they are dealing with a Swiss entity.
In these situations, a simple administrative domiciliation may become inappropriate and potentially risky for the client. We then prefer to decline the mandate or redirect the project towards a compliant structure that genuinely matches the activity carried out, such as the formation of a Swiss subsidiary or a branch office.
Individual wishing to "establish" themselves fiscally in Switzerland through a mere domiciliation
We are sometimes contacted by individuals — resident in Switzerland or abroad — who think that a simple administrative domiciliation is enough:
- to change tax canton;
- to be taxed in the canton of domiciliation;
- to transfer their tax residence to Switzerland;
- or to obtain a Swiss residence permit.
This is not the case.
A commercial domiciliation address does not constitute a private domicile under Swiss tax, civil or migration law.
For Swiss residence to be recognised, you generally need to have a genuine private place of life, for example:
- an apartment or a house;
- a furnished rental;
- an apart-hotel or hotel residence;
- or genuine accommodation with relatives.
The authorities examine in particular:
- the place of effective residence;
- the centre of personal and economic interests;
- the actual physical presence;
- the consistency between activity, housing and family situation.
A simple commercial domiciliation with a corporate services firm therefore does not allow:
- automatic cantonal taxation;
- artificial relocation of a tax residence;
- nor obtaining a Swiss residence permit.
In this type of situation, we prefer to clarify the applicable rules from the outset to spare the client unsuitable steps, administrative refusals or significant tax risks.

Frequently asked questions about company registered office and domiciliation in Switzerland
Answers to the questions we receive every week about the notification address, the registered office, economic substance, the resident director mandate and the obligations that follow registration with the Commercial Register.
What is company registered office and domiciliation in Switzerland?
Company domiciliation in Switzerland consists of making a Swiss address available as the company’s official registered office with the Commercial Register. It allows the entity to have a legal address, receive official correspondence and meet cantonal and federal requirements without renting permanent offices. This service is typically provided by a corporate services firm or a regulated professional domiciliator.
How much does it cost to establish a registered office in Switzerland?
The price depends on the need and the volume of associated services. At My Swiss Company SA, three packages cover all cases: Notification Address CHF 1’000/year excl. VAT (receive official correspondence from authorities without Commercial Register registration), Company Registered Office CHF 1’500/year excl. VAT (registered office entered in the Commercial Register in 9 cantons) and Registered Office with Economic Substance CHF 4’000/year excl. VAT (registered office + private office and demonstrable physical presence for holdings, fintechs and wealth structures). All packages are without commitment beyond 12 months. FTA VAT representation, resident director mandate and accounting available as options.
Which canton should you choose for your Swiss registered office: Geneva, Zug or Lucerne?
Geneva is preferred for international trade, wealth management and VAT representation. Zug remains one of the most tax-competitive cantons, ideal for holdings and wealth structures. Lucerne offers favourable taxation in German-speaking Switzerland with a stable business environment. The choice depends on your activity, your client base and your tax strategy — we recommend an initial scoping with your corporate services firm.
Can a foreign company establish a registered office in Switzerland?
Yes. A foreign company can establish a branch office or subsidiary in Switzerland with a Swiss registered office address. This requires registration with the Commercial Register of the canton and the appointment of a director or managing officer residing in Switzerland (legal requirement). My Swiss Company SA provides this set of services within a single mandate.
How long does it take to obtain a Swiss registered office address?
The domiciliation certificate is generally issued within 48 hours after receipt of the complete KYC file. Final registration with the Commercial Register then takes 5 to 10 business days depending on the canton.
Does the domiciliation include VAT representation?
The Notification Address package includes the election of domicile for VAT purposes — a practical entry point for a foreign company subject to Swiss VAT. Full VAT representation (registration, quarterly returns, VAT recovery) is available as an option on all packages. We handle the entire process with the FTA — see the dedicated service VAT tax representation in Switzerland.
Is a director residing in Switzerland required?
Yes. Art. 718 para. 4 of the Swiss Code of Obligations requires that at least one person with power of representation (SA director or Sàrl managing officer) be domiciled in Switzerland. Our professionals provide this resident director or managing officer mandate, acting in accordance with the instructions and governance framework of the board of directors.
What is the difference between domiciliation and registered office in Switzerland?
The registered office is the legal address registered with the Commercial Register; it determines the legal forum and cantonal taxation. Domiciliation is the service through which a domiciliator (corporate services firm) makes this address available to a company that has no offices of its own. In practice, the domiciliation address serves as the registered office, subject to a domiciliation contract compliant with AMLA requirements and the presence of a resident representation body.
Can you have a Swiss business address without residing there?
Yes, on two cumulative conditions: (1) sign a domiciliation contract with a professional AMLA-supervised domiciliator, and (2) appoint at least one director or managing officer residing in Switzerland (art. 718 para. 4 CO). My Swiss Company SA provides both within a single package. The foreign company thus obtains a registered office address recognised by the Commercial Register and a local point of contact for cantonal and federal authorities.
What types of structures do you domicile?
My Swiss Company SA exclusively supports legal entities: public limited companies (SA), limited liability companies (Sàrl), holdings, branches and subsidiaries of foreign groups, foundations, associations and financial companies (FinSA / FinIA). We do not offer domiciliation for individuals (private persons or sole proprietorships of self-employed workers).
What are the AMLA obligations of a Swiss domiciliator?
Every domiciliator in Switzerland is subject to the Federal Anti-Money Laundering Act (AMLA) and must be affiliated with a Self-Regulatory Organisation (SRO) recognised by FINMA. This entails: identification of the beneficial owner, verification of the origin of funds, ongoing monitoring of business relationships, retention of KYC files for 10 years. My Swiss Company SA is a financial intermediary FINMA / SRO under number F01502161.
Which cities and cantons do you cover for domiciliation?
We offer registered office and domiciliation addresses in strategic Swiss locations: Geneva, Lucerne, Lausanne (Vaud), Basel, Zurich, Neuchâtel, Zug and Fribourg. For other cantons (Valais, Ticino, Jura, Bern, etc.), we work with a network of local corporate services partners.
