OFCOM compliance in 48 hours

Context

A European company in the telecommunications sector was contacted by the Federal Office of Communications (OFCOM) as part of a new regulatory obligation requiring the appointment of a notification address in Switzerland. Without Swiss notification address, it risked an interruption of its activities on Swiss territory.

My Swiss Company

In less than 48 hours, our service enabled it to set up a compliant official notification address, immediately recognised by the federal authorities.

Result

The company was able to respond on time, secure its compliance and continue its operations without interruption.

Registered office transfer for a US tech subsidiary

Context

Sprinklr, a US customer experience management platform present in Switzerland to serve its EMEA market, was already domiciled with another provider. However, the day-to-day administration of the subsidiary was not being handled to their expectations: mail processed irregularly, lack of responsiveness on administrative requests, insufficient corporate follow-up. Management decided to transfer the registered office to a corporate services firm capable of handling the full scope of administrative activities.

My Swiss Company

We coordinated the registered office transfer with the Commercial Register, took over the file history, and put in place a structured administrative follow-up: mail forwarding, document management, AGM preparation and day-to-day corporate assistance.

Result

Sprinklr now benefits from a new registered office in Geneva complemented by professional administrative and secretariat services.

Economic substance and flexible private office

Context

A European company in a growth phase was looking to strengthen its economic substance in Switzerland to support the development of its activities by establishing a registered office address in our business centre while benefiting from our flexible private office solution with on-demand access to the conference room. Growth required a dedicated private office for its meetings and local operations, but without committing to a traditional 5- to 10-year commercial lease, deemed too rigid.

My Swiss Company

Our Substance solution provided it with a registered office address in Switzerland combined with an ready-to-use private office, with no long-term commitment constraints.

Result

The company strengthened its economic substance and supported its growth through access to our Geneva business centre service, gained local credibility and retained strategic agility in developing its activities.

3 client cases ·

Borderline cases: when we decline a domiciliation mandate.

Three situations in which My Swiss Company SA prefers to decline or redirect the project, in the client's interest. How we handle the cross-border self-employed person without real Swiss substance, the foreign company exposed to permanent establishment risk under art. 5 of the OECD Model, and the individual seeking a tax “residence” through a mere business address.

Decline type 01

Cross-border self-employed: simple domiciliation insufficient for an activity without real Swiss substance

We are regularly contacted by cross-border self-employed individuals seeking a Swiss domiciliation address in order to register with the Commercial Register and/or with the AHV as self-employed.

In some cases, this model can be coherent. However, when the nature of the activity does not make it credible to operate the business from a mere domiciliation address, we prefer not to accept the mandate, in the client's interest.

This is notably the case when:

  • the activity physically requires a workshop, an office, commercial premises, storage or staff on site;
  • all operational activity remains carried out from the client's country of residence;
  • no business travel, clientele or credible infrastructure exists in Switzerland;
  • the domiciliation is used as the sole "proof" of a Swiss activity.

In this type of situation, the risk is twofold:

  • refusal or challenge of self-employed status by the AHV;
  • tax or administrative challenge linked to the absence of real economic substance in Switzerland.

A simple administrative address does not replace a genuine place of operation. Where necessary, we redirect our clients to more appropriate solutions: real office, permanent workspace, credible operational structure or other organisation compatible with the activity carried out.

Decline type 02

Foreign company using a Swiss address for marketing purposes: permanent establishment risk (art. 5 OECD Model)

Some foreign companies wish to have a Swiss address in order to strengthen their commercial image or international credibility, then publish this address on:

  • their website;
  • their email signatures;
  • their contracts;
  • their commercial documentation;
  • their business cards;
  • their invoices.

In some contexts, this use can create a significant legal and tax risk, particularly with regard to the risk of being reclassified as a permanent establishment ("PE") within the meaning of article 5 of the OECD Model Tax Convention, reproduced in the majority of international tax treaties concluded by Switzerland. In practice, a Swiss address presented as a genuine commercial point of presence may lead some tax authorities, business partners or banks to consider that:

  • the company carries out an activity in Switzerland;
  • a lasting economic presence exists;
  • local substance is being claimed;
  • tax, accounting or regulatory obligations could apply in Switzerland.

The risk increases further when:

  • employees work from Switzerland;
  • commercial decisions are taken from Switzerland;
  • the Swiss address is presented as the operational headquarters;
  • clients believe they are dealing with a Swiss entity.

In these situations, a simple administrative domiciliation may become inappropriate and potentially risky for the client. We then prefer to decline the mandate or redirect the project towards a compliant structure that genuinely matches the activity carried out, such as the formation of a Swiss subsidiary or a branch office.

Decline type 03

Individual wishing to "establish" themselves fiscally in Switzerland through a mere domiciliation

We are sometimes contacted by individuals — resident in Switzerland or abroad — who think that a simple administrative domiciliation is enough:

  • to change tax canton;
  • to be taxed in the canton of domiciliation;
  • to transfer their tax residence to Switzerland;
  • or to obtain a Swiss residence permit.

This is not the case.

A commercial domiciliation address does not constitute a private domicile under Swiss tax, civil or migration law.

For Swiss residence to be recognised, you generally need to have a genuine private place of life, for example:

  • an apartment or a house;
  • a furnished rental;
  • an apart-hotel or hotel residence;
  • or genuine accommodation with relatives.

The authorities examine in particular:

  • the place of effective residence;
  • the centre of personal and economic interests;
  • the actual physical presence;
  • the consistency between activity, housing and family situation.

A simple commercial domiciliation with a corporate services firm therefore does not allow:

  • automatic cantonal taxation;
  • artificial relocation of a tax residence;
  • nor obtaining a Swiss residence permit.

In this type of situation, we prefer to clarify the applicable rules from the outset to spare the client unsuitable steps, administrative refusals or significant tax risks.

Frequently asked questions

Frequently asked questions about a virtual office in Lausanne

Answers to the questions we receive every week about a virtual office and registered address in Lausanne, costs, taxation in the Canton of Vaud, economic substance and the obligations that follow registration with the Commercial Register.

What is company domiciliation in Lausanne?

Company domiciliation in Lausanne means officially registering your company’s seat at an address in the city that is enforceable with the Commercial Register of the Canton of Vaud. Your structure has a legal address, receives its official mail and satisfies cantonal and federal requirements — without renting permanent offices. It is a service provided by a professional domiciliary agent subject to the Swiss Anti-Money Laundering Act (AMLA), such as My Swiss Company SA.

Is this a virtual office in Lausanne?

Yes — in the sense international entrepreneurs use the term: a prestigious business address in Lausanne, mail handling and meeting rooms on demand, without renting permanent premises. The difference from generic virtual-office providers is that My Swiss Company is a Swiss corporate services firm: your address can be entered as your company’s legal seat with the Commercial Register of the Canton of Vaud, AMLA compliance is handled, and accounting, VAT and resident-director support are available under the same roof.

How much does domiciliation in Lausanne cost?

The three My Swiss Company packages apply in Lausanne as in our other cities: Official notification address from CHF 83/month excl. VAT (official mail reception without Commercial Register entry), Company registered office from CHF 125/month excl. VAT (seat registered with the Commercial Register of the Canton of Vaud) and Registered Office with Economic Substance from CHF 334/month excl. VAT (registered office with a demonstrable physical presence). Billed annually, with no commitment beyond 12 months — and no hidden costs.

Why choose Lausanne for your registered office?

Effective corporate income tax of ≈ 13.8% since Vaud’s corporate tax reform — a sound balance of taxation, talent and proximity to Geneva. Medtech, biotech and software (EPFL), plus service SMEs: the Lake Geneva arc offers a deep talent pool and a dynamic French-speaking market. The right canton remains the one that matches your actual activity: we analyse your situation before any registration.

Does a registered office in Lausanne affect my company’s taxes?

Yes. The canton and municipality of your registered office determine where your company pays corporate income and capital tax — in Lausanne, effective corporate taxation is ≈ 13.8%. Keep in mind that a company is taxed where it is effectively managed, not merely where its address is registered. Our guide explains how to domicile a company in Switzerland and which canton to choose.

Can a foreign company be domiciled in Lausanne?

Yes. Foreign companies and their branches can establish their seat in Lausanne, provided they comply with Swiss law: at least one person domiciled in Switzerland with signing authority (Art. 718 para. 4 and Art. 814 para. 3 of the Swiss Code of Obligations), a real registered address and, depending on the case, demonstrable substance. We provide the resident director mandate and VAT tax representation where required.

How long does it take to obtain an address in Lausanne?

The domiciliation certificate is issued within 48 business hours after your file is validated (AMLA checks included). Registration of the seat with the Commercial Register of the Canton of Vaud then takes 5 to 10 business days depending on the canton and the period.

Do you also provide domiciliation elsewhere in the canton (Nyon, Morges, Renens, Yverdon-les-Bains or the Riviera)?

Yes. The seat entered in the Commercial Register is independent of where you actually operate: our Lausanne solution suits any company in the canton — Nyon, Morges, Renens, Yverdon-les-Bains or the Riviera. We also offer domiciliation in Switzerland’s other major cities if another canton better fits your strategy.

Does domiciliation in Lausanne include VAT representation?

VAT fiscal representation with the Swiss Federal Tax Administration (FTA) is available as an option, as are the resident director mandate and accounting. If your taxable turnover in Switzerland exceeds CHF 100’000, VAT registration is mandatory — we handle the registration and your returns.

What about economic substance in Lausanne?

For a Vaud registered office that must demonstrate an effective presence, we build the solution with you: a compliant domiciliation address in Lausanne, complemented as needed by private offices in our Geneva or Lucerne business centres, a resident director and accounting. Substance is proven by a real organisation — not by a mere letterbox.
